GENERAL TERMS AND CONDITIONS OF SALE AND SERVICES
1.1. These General Terms and Conditions of Sale (“GTC”) apply to all orders for services placed with VR AGENCY SRL, whose registered office is located at Esstraat 23, 1932 St. Stevens, Woluwe, and whose operating address is Avenue Louise 54, 1000 Brussels.
1.2. These GTC prevail over any other general or specific terms and conditions of the client, unless otherwise agreed in writing by VR AGENCY.
1.3. VR AGENCY reserves the right to modify these GTC at any time. Modifications will be published on the website www.vragency.website and will apply to orders placed after they are posted online.
2.1. Unless otherwise stipulated, VR AGENCY’s offers are valid for a period of one month.
2.2. An order is only considered final after written acceptance by VR AGENCY.
2.3. VR AGENCY’s agents and representatives do not have the authority to contractually bind the company without written confirmation.
3.1. Prices are expressed in euros and exclude VAT. Any variation in VAT or applicable tax will be reflected in the final price.
3.2. Prices apply only to the services specified in the offer. Any additional request will be billed at €85 excluding VAT/hour, excluding the quote.
4.1. Invoices are payable within 15 calendar days of the issue date.
4.2. A deposit of 50% of the total amount is required upon signing the quote.
4.3. Any late payment will automatically incur late payment interest of 1% per month, with a minimum of €50.
4.4. A fixed compensation of 15% of the unpaid amount will be applied as damages.
5.1. The contract is valid until the project is completed or the monitoring contract is terminated.
5.2 Maintenance service is mandatory for 12-month periods.
6.1. Delivery times are approximate, unless expressly guaranteed by VR AGENCY.
6.2. Any changes requested after delivery will incur additional costs, unless they are made within the following timeframes:
– Revision 1: free within 15 days of delivery.
– Revision 2: 50% discount between 15 and 30 days, i.e. €42.50 excluding VAT/hour
– Revision 3 and beyond: billed at the current hourly rates.
7.1. VR AGENCY offers maintenance and hosting services, available through a separate contract, an annual subscription, or, in some cases, a monthly subscription. All new projects include 12 months of maintenance for the first year. From the 13th month onward, maintenance is billed monthly to ensure the service’s proper functioning.
7.2. Maintenance includes technical updates, bug fixes, and security monitoring. Any additional requests not covered by the maintenance package will be billed at the current hourly rate.
7.3. The maintenance of a website, custom platform, application, or any other service created by our agency is essential to ensure the smooth running and long-term sustainability of the project. For sites based on a CMS like WordPress, it ensures security, compatibility with system and plugin updates, and performance optimization to avoid vulnerabilities and ensure a smooth user experience.
7.4. Hosting is provided on secure servers. VR AGENCY cannot be held responsible for service interruptions due to technical problems, external attacks, or failures of the hosting provider.
7.5 The hosting offered by VR Agency is based on a premium server that provides optimal performance for its clients’ websites and platforms. This infrastructure guarantees increased speed, a positive impact on SEO, and high stability. Above all, it ensures enhanced data security thanks to advanced firewalls and tailored protections against online threats.
8.1. VR AGENCY guarantees that the elements provided comply with the rights of third parties and applicable laws.
8.2. VR AGENCY cannot be held responsible for the use of content provided by the client.
8.3. VR AGENCY’s liability is limited to the value of the services provided.
9.1. The deliverables remain the property of VR AGENCY until full payment of the invoices.
10.1. The parties agree not to disclose any confidential information related to the performance of the contract.
11.1. The client acknowledges having verified the suitability of the equipment and service for its needs and having received from VR AGENCY all the information and advice necessary to enter into this agreement with full knowledge of the facts.
11.2. VR AGENCY reserves the right to monitor compliance with the terms of use of the service.
12.1. The leads provided by VR AGENCY are collected legally and ethically.
12.2. The client is responsible for ensuring their use in accordance with applicable laws.
12.3. VR AGENCY does not guarantee the lead conversion rate.
12.4 The client must respect leads’ unsubscribe requests and allow them to easily opt out of any communications, in accordance with data protection laws.
13.1. This contract is governed by Belgian law.
13.2. Any dispute will be submitted to the competent courts of Brussels.
By accepting these general terms and conditions of sale, the client acknowledges having read and accepted the terms of this clause on the sale of leads.
